These Terms & Conditions (“Terms”) govern the issuance, ownership, and use of the SOU NFT system (“SOU”) made available in connection with bridge transactions between Shibarium and Ethereum. By accepting, holding, transferring, splitting, merging, redeeming, or otherwise interacting with an SOU NFT, you acknowledge and agree to be bound by these Terms.

1. Nature and Purpose of SOU

The SOU NFT (Statement of Unfulfilled) is a blockchain-based digital token issued as part of a voluntary remediation effort related to bridge liquidity constraints. SOU NFTs are issued solely as a good-faith initiative intended to provide transparency and structured tracking of unfulfilled bridge transactions. The SOU system represents an effort by the ecosystem to assist impacted users. SOU does not constitute:
  • A legally binding debt instrument
  • A guarantee of repayment
  • A security, financial instrument, or investment product
  • A legally enforceable claim against any entity, developer, contributor, or affiliated party
The issuance of SOU NFTs does not create any legal obligation, fiduciary duty, or contractual liability on the part of the Shibarium ecosystem, its developers, contributors, affiliates, or associated entities. Nothing in the SOU system shall be interpreted as:
  • A promise or guarantee of refunds
  • A guarantee of full or partial repayment
  • A legally enforceable commitment to restore funds
Any payouts, donations, distributions, or redemption mechanisms are made at the sole discretion of the ecosystem and may occur, be modified, or cease at any time without prior notice. Users acknowledge that participation in the SOU system is voluntary and that no assurance of financial recovery is provided.

3. Voluntary Nature of Distributions

Any donations, payouts, or bonus distributions associated with SOU are:
  • Entirely voluntary
  • Subject to availability of funds
  • Dependent on ecosystem conditions
  • Not guaranteed in timing, amount, or continuity
The ecosystem reserves full discretion in determining:
  • If distributions occur
  • The method of distribution
  • Eligibility criteria
  • The amount allocated
No user is entitled to mandatory compensation.

4. User Responsibility

Users are solely responsible for:
  • Maintaining control and security of their wallet(s)
  • Safeguarding private keys and seed phrases
  • Properly claiming payouts or distributions when available
  • Monitoring official announcements regarding SOU
Loss of access to a wallet, private key compromise, incorrect transactions, failure to claim distributions, or marketplace activity is the sole responsibility of the user. The ecosystem shall not be liable for:
  • Lost, stolen, or compromised SOUs
  • Incorrect wallet addresses
  • Smart contract interaction errors
  • Missed claim windows
  • Marketplace-related losses

5. No Responsibility for Further Issues

The ecosystem, its developers, contributors, and affiliated parties shall not be responsible for:
  • Future technical issues
  • Smart contract vulnerabilities
  • Blockchain network failures
  • Third-party integrations
  • Marketplace activity
  • Liquidity constraints
  • External economic factors
Participation in blockchain systems carries inherent risks, including but not limited to volatility, protocol bugs, exploits, and irreversible transactions. Users assume full responsibility for these risks.

6. Transferability and Market Activity

SOU NFTs may be transferable and tradable on supported marketplaces. However:
  • The ecosystem does not guarantee liquidity or valuation.
  • The ecosystem does not endorse or control third-party marketplaces.
  • Any sale, purchase, or transfer is conducted entirely at the user’s own risk.
The ecosystem is not liable for pricing fluctuations, market losses, or fraudulent marketplace activity.

7. No Financial or Investment Advice

Nothing related to SOU constitutes financial, legal, tax, or investment advice. Users should consult independent advisors before making decisions involving digital assets.

8. Regulatory Disclaimer

SOU NFTs are intended as blockchain-based digital tokens for claim tracking purposes only. They are not intended to represent securities, shares, debt obligations, or regulated financial instruments. Users are responsible for ensuring compliance with local laws and regulations applicable in their jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by applicable law: The ecosystem, its developers, contributors, partners, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from:
  • Participation in the SOU system
  • Holding or transferring SOUs
  • Interacting with related smart contracts
  • Reliance on potential future distributions
All use of SOU is at the user’s own risk.

10. Modification of Terms

These Terms may be updated or modified at any time without prior notice. Continued interaction with SOU following any changes constitutes acceptance of the revised Terms.

11. Acceptance of Risk

By accepting or interacting with an SOU NFT, users explicitly acknowledge:
  • Blockchain technology carries inherent technical and economic risks.
  • Recovery or repayment efforts may not result in full compensation.
  • The ecosystem provides SOU as a transparent effort to assist, not as a legally binding obligation.
Users voluntarily assume all risks associated with participation.

12. Governing Law

These Terms shall be governed in accordance with applicable laws as determined by the ecosystem operators, without regard to conflict-of-law principles.

Final Acknowledgment

By accepting an SOU NFT, claiming distributions, transferring, splitting, merging, or otherwise interacting with the SOU system, you confirm that:
  • You understand SOU does not guarantee refunds.
  • You acknowledge no legal obligation is created.
  • You accept full responsibility for securing your assets.
  • You participate voluntarily and at your own risk.
